These Terms & Conditions (“Terms”) govern your access to and use of the website and services of J2 Sutton Capital Group LLC (“J2SCG,” “we,” “us,” or “our”), a licensed freight brokerage. Please read them carefully. By using our website or submitting a contact or quote request, you agree to these Terms.

1 Acceptance of terms

By accessing our website or submitting information to us, you confirm that you are at least 18 years old, are authorized to act on behalf of any business you represent, and agree to be bound by these Terms. If you do not agree, do not use the site.

2 Our role as a broker

J2SCG is a licensed broker holding two FMCSA operating authorities under USDOT# 9053087: Broker of Property (MC# 57090656) and Broker of Household Goods (MC# 68273120), with a BMC-84 surety bond on file. We arrange for the transportation of freight by connecting shippers with vetted, independent motor carriers. J2SCG is not a motor carrier. We do not own trucks, employ drivers, or take custody of freight. Transportation is performed by third-party carriers that operate under their own authority and insurance.

3 Quotes and rate estimates

Any quote, rate, or estimate we provide is preliminary and non-binding until confirmed in a written rate confirmation or service agreement. Rates are based on the information you provide and are subject to verification. Additional charges (including accessorials, detention, layover, demurrage, and re-consignment) may apply based on actual shipment conditions.

4 Shipper responsibilities

• Provide accurate, current, and complete shipment information (commodity, weight, dimensions, dates, and special requirements);
• Ensure freight is legal, properly described, packaged, labeled, and loaded, with an accurate bill of lading;
• Not tender hazardous, prohibited, or improperly declared freight without prior written arrangement; and
• Pay valid invoices in accordance with agreed terms.

5 Carrier responsibilities

• Maintain active FMCSA operating authority and required insurance;
• Complete our carrier packet and provide accurate authority, safety, and insurance documentation;
• Perform transportation safely and in compliance with all applicable laws and regulations; and
• Operate as an independent contractor, solely responsible for the freight while in its custody.

6 Cargo claims and carrier liability

Because J2SCG is a broker and not a carrier, liability for loss of or damage to freight rests with the motor carrier that transported it, subject to the carrier’s liability, its insurance, and applicable law (including the Carmack Amendment where it applies). We will reasonably assist in the claims process but are not liable as a carrier for cargo loss or damage.

7 Not legal, financial, or tax advice

8 SMS and communications

9 Intellectual property

All content on this website, including text, graphics, logos, the J2SCG name and marks, and layout, is owned by or licensed to J2SCG and is protected by intellectual property laws. You may not copy, reproduce, or distribute it without our prior written permission.

10 Third-party carriers and links

Our website may link to, or our services may involve, third-party carriers and providers. We do not control and are not responsible for the content, services, acts, or omissions of those third parties. Any dealings you have with a carrier or other third party are between you and that party.

11 Disclaimer of warranties

The website and its content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or secure.

12 Limitation of liability

To the fullest extent permitted by law, J2SCG and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the website or our services, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

13 Indemnification

You agree to indemnify and hold harmless J2SCG and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the website, your shipments or submissions, or your breach of these Terms.

14 Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Stafford County, Virginia, and you consent to their jurisdiction.

15 Changes to these terms

We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the website after changes are posted means you accept the updated Terms.
